Why Deal Terms Matter More Than the Headline Price

Price gets the headline, but the terms are where real deal value is created.

Price is the number that gets discussed in every negotiation, repeated in every update, and remembered years later. It's simple, it's comparable, and it fits in a sentence. Terms are harder to talk about, which is precisely why they're where deals are actually won and lost.

A buyout at a price you're happy with can still cripple the business if the money has to leave the building all at once. A deal at a price you grumbled about can be a genuine win if the structure lets the company keep operating without strain. Sophisticated counterparties know this. Most first-time dealmakers find it out afterward.

That gave management an opening, but it came with a real constraint. This was a company that needed its cash. A large lump-sum payout would have drained the balance sheet at exactly the moment the team needed capital to run and grow the business, and they had no appetite for taking on a substantial amount of debt. Getting to an agreed price would have meant nothing if funding it left the company gasping.
